CODE OF ETHICS FOR PARTNERS
Hybrid Learning Ocean Limited
(BGC – BLOO GLOBAL)
The Code of Ethics and Company Regulations outlined in this document serve as a comprehensive guideline for all Direct Selling entrepreneurs associated with Hybrid Learning Ocean Limited (hereinafter referred to as Partners). By registering and becoming a Partner of BLOO GLOBAL, individuals agree to abide by the principles and rules set forth herein. This document forms a binding agreement between the Partner and the Company, remaining in effect until the termination of the Partnership.
CHAPTER I General Definitions
- Hybrid Learning Ocean Limited: A limited liability company duly established under the Companies Ordinance of Hong Kong, serving as the legal and operational entity behind BLOO GLOBAL.
- Partner: An independent entrepreneur registered within Hybrid Learning Ocean Limited’s sales network, approved through sponsorship and authorized to represent the BLOO GLOBAL brand.
- Sponsor: A Partner responsible for introducing and guiding prospective individuals to join BLOO GLOBAL, thus forming their initial connection to the network.
- Network: The hierarchical structure consisting of all Partners directly or indirectly associated with an individual Partner within BLOO GLOBAL’s operational framework.
- Consumer: An end-user who purchases BLOO GLOBAL products for personal use and not for resale.
- Commission: Earnings distributed to Partners based on personal and network sales performance, calculated according to the Marketing Program.
- Bonus: Additional rewards provided to Partners for surpassing sales targets or achieving specific milestones within the Company’s Marketing Program.
- Products: Officially distributed goods by BLOO GLOBAL, intended for sale or personal use within the guidelines of the Direct Selling model.
- Inheritance: The transfer of Partnership rights from a deceased Partner to their legitimate heirs as defined by applicable laws.
- Heirs: Individuals, including children, spouses, or other legally recognized relatives, eligible to inherit a Partner’s rights within BLOO GLOBAL.
CHAPTER II BLOO GLOBAL PARTNERSHIP
A. Registration and Requirements
- Individuals aged 18 or older, possessing valid identification, are eligible to register as Partners.
- The registration process requires the accurate and truthful completion of the BLOO GLOBAL registration form, either online or offline. The Partner bears full responsibility for the accuracy of the information provided.
- Registration is free of charge and includes:
- Access to a downloadable Starter Kit in PDF format, which includes the Company Profile, Product Information, Marketing Program Overview, and the Code of Ethics.
- A personalized account with credentials sent via email for accessing the Partner portal.
- Partners must provide valid banking details to facilitate the transfer of commissions and bonuses. All monetary transactions will be processed through registered bank accounts to comply with Hong Kong financial regulations.
- Partners are prohibited from providing false information during registration. Any discrepancies may result in registration cancellation without compensation.
B. Partnership Duration and Renewal
- Partnerships are valid for one year and are automatically renewed for free if the Partner has purchased at least one product within the current period.
- Failure to meet the renewal criteria will result in automatic termination, with the option to reapply as a new Partner in the future.
C. Updates and Transfers
- Changes to personal details, such as address or bank account information, must be submitted to customer service for official updates.
- Partnerships are non-transferable except through inheritance in the event of a Partner’s death.
CHAPTER III Rights and Obligations of Partners
A. Rights of Partners
- Access to accurate and comprehensive information regarding Company policies, products, and marketing programs.
- Equal opportunities to achieve success and receive fair compensation for personal and network sales efforts.
- Quality products and services that meet the standards advertised by BLOO GLOBAL.
- Participation in training programs, promotional activities, and other initiatives organized by the Company to support business growth.
- Timely payment of commissions, bonuses, and other earnings as specified in the Marketing Program.
B. Obligations of Partners
- Adhere to all regulations, procedures, and the Code of Ethics established by Hybrid Learning Ocean Limited.
- Uphold the Company’s reputation by engaging in ethical business practices and avoiding harm to others.
- Protect the confidentiality of personal account credentials, including usernames and passwords.
- Promote and sell products with honesty, ensuring claims align with official Company materials.
CHAPTER IV Prohibitions for Partners
- Providing misleading information or exaggerated claims about BLOO GLOBAL products or opportunities.
- Using coercion or other unethical methods to secure sales or recruit new Partners.
- Selling or promoting products below the official price set by the Company.
- Representing oneself as an employee or agent of Hybrid Learning Ocean Limited in any formal or legal capacity.
- Engaging in cross-line sponsorship or attempting to recruit Partners from other networks without proper authorization.
- Selling BLOO GLOBAL products on unauthorized platforms, including online marketplaces and retail stores.
- Altering product packaging or misrepresenting the contents of official BLOO GLOBAL products.
CHAPTER V Partnership Termination
- A Partnership may be terminated due to the following reasons:
- Failure to renew as specified in Chapter II.
- Voluntary resignation, submitted in writing.
- Proven violations of the Code of Ethics or legal requirements.
- A court order or legislative changes affecting operations.
- Upon termination, all rights, including network associations, commissions, and bonuses, are forfeited without compensation.
CHAPTER VI Satisfaction Guarantee
- Partners may exchange products within seven days if they do not meet quality standards or claims made in official Company materials. Exchanges require a valid sales receipt.
- Compensation for product-related damages is provided only if caused by Company negligence and not misuse by the Partner.
CHAPTER VII Death and Inheritance
- A deceased Partner’s rights may be transferred to legally recognized heirs, subject to proper documentation and adherence to applicable laws.
- The Company will comply with court decisions in cases of inheritance disputes, holding all rights and commissions in abeyance until resolution.
CHAPTER VIII Company Rights and Obligations
A. Rights of the Company
- Accept or reject Partnership applications based on the accuracy and validity of the information provided.
- Modify marketing programs, policies, and the Code of Ethics with 30 days’ notice, subject to approval by relevant Hong Kong authorities.
B. Obligations of the Company
- Provide clear, accurate information about products and business opportunities.
- Ensure all products meet quality standards and are officially certified for sale.
- Offer training, support, and resources to help Partners succeed.
- Guarantee timely payment of commissions and bonuses in line with the Marketing Program.
CHAPTER IX Commissions and Bonuses
- The compensation structure includes various commissions and bonuses based on personal and network sales performance.
- Specific bonuses are awarded for achieving milestones, including referral cashbacks and global pool sharing.
CHAPTER X Taxes
- All commissions and bonuses are subject to income tax depending on the Partner’s obligation to declare and comply with the tax regulations of Hong Kong or their respective country of residence.
- Tax deductions will be made at source, with official documentation provided to the Partner.
CHAPTER XI Training and Development
- The Company organizes regular training sessions, including business presentations, orientation programs, and leadership development events.
- Mentoring initiatives are available to support both new and experienced Partners in achieving their business goals.
CHAPTER XII Sanctions for Violations
- Violations of the Code of Ethics or applicable laws may result in written warnings, suspension, or termination of Partnership rights.
- Investigations will be conducted to determine the severity of violations, with decisions communicated promptly to the Partner involved.
CHAPTER XIII Dispute Resolution
- Disputes between Partners or with the Company will be resolved through mutual discussion and mediation. Unresolved matters will be escalated to the Hong Kong judicial system as necessary.
- Legal proceedings will take place in Hong Kong, where the Company is headquartered.
This Code of Ethics serves as a comprehensive agreement between Hybrid Learning Ocean Limited and its Partners. Changes to this document will be communicated with a 30-day notice period following regulatory approval. The Company and its Partners are committed to upholding the highest standards of integrity and professionalism in all operations.
